Terms of Service

1) Acceptance of terms

These Terms of Service ("Terms") form a legally binding agreement between you and GLOWmusic, doing business as Meliz ("we," "our," or "us"), governing your access to and use of our software, websites, APIs, and related services (collectively, the "Service").

By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2) Eligibility and authority

You must be at least the age of majority in your jurisdiction (and at minimum 13 years old) to use the Service. If you use the Service for an artist, label, management company, or other entity, you represent that you have authority to bind that entity to these Terms.

3) Accounts, access, and security

  • You are responsible for your credentials and all activity under your account.
  • You must provide accurate and current information, including collaborator and contact details where required.
  • You must promptly notify us through support if you suspect unauthorized access.
  • We may suspend or restrict access if reasonably necessary to protect users, the Service, legal rights, or platform integrity.

4) Service functionality and permitted use

The Service is designed for music project operations, including timelines, tasks, file organization, collaboration, review workflows, and split approval records.

You agree not to misuse the Service, including by:

  • accessing data you are not authorized to access;
  • uploading malware or harmful content;
  • abusing invite, tokenized review, or approval links;
  • reverse engineering or disrupting platform security controls;
  • using the Service for unlawful, infringing, or fraudulent conduct.

5) Content, files, and external storage links

You retain ownership of content you submit, including files, metadata, notes, comments, and split-related information ("User Content"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display User Content solely to operate and improve the Service.

If you attach files from third-party platforms (such as Google Drive or Dropbox), you are responsible for those links, permissions, and compliance with third-party terms. We may store reference metadata and URLs but may not host those external files directly.

6) Collaboration and split responsibility

You are responsible for ensuring contributor names, legal entities, rights ownership, and split percentages are accurate before relying on them for legal or commercial use. The Service provides workflow tooling, not legal verification.

Electronic acknowledgments, approvals, and signature records captured through the Service may be used as operational records. You remain responsible for obtaining legal advice where needed.

7) Intellectual property

The Service, including software, designs, text, graphics, branding, and other platform materials (excluding User Content), is owned by or licensed to GLOWmusic and protected by intellectual property laws. You may not copy, distribute, or create derivative works from the Service except as expressly permitted by law or these Terms.

References to Meliz are intended to support our current or future trade name and brand usage.

8) Third-party services

The Service may interoperate with third-party providers (for example Supabase, Netlify, email delivery, push services, Google, and Dropbox). Your use of those services may also be subject to their terms and policies. We are not responsible for third-party service outages, changes, or independent actions.

9) Fees and subscription terms

If paid plans are introduced, we will provide pricing, billing cadence, and scope details at or before purchase. Unless otherwise stated, paid fees are non-refundable to the extent permitted by law.

We may change pricing or packaging prospectively with reasonable notice. Continued use after an effective change date constitutes acceptance of the updated pricing.

10) Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, legal requirements, non-payment (if applicable), security concerns, or harmful behavior.

Upon termination, certain provisions survive by their nature, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related clauses.

11) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOWmusic (DBA Meliz) AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

13) Indemnification

You agree to indemnify, defend, and hold harmless GLOWmusic (DBA Meliz) and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your User Content, or your violation of these Terms or applicable law.

14) Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction where GLOWmusic is organized, without regard to conflict-of-laws principles. Venue for disputes will lie in courts of competent jurisdiction in that location, unless otherwise required by applicable consumer law.

If you have a concern, contact us first through support so we can attempt to resolve the issue informally.

15) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the revised Terms with a new "Last updated" date and may provide additional notice inside the Service. By continuing to use the Service after changes take effect, you agree to the updated Terms.
